Terms & Conditions
of Trade
These Terms and Conditions apply to all sales of goods by Reliable Consumables NZ Limited. By placing an order with us, you agree to be bound by these terms.
Any additional or inconsistent terms proposed by you will not apply unless agreed in writing by us. Acceptance of delivery constitutes acceptance of these Terms.
Orders & Contract
- An order submitted to us to purchase goods is an acceptance of these Terms.
- A contract is formed when we receive your order (including by dispatching goods).
- Any variations must be agreed in writing by both parties.
Pricing
- Prices are exclusive of GST unless stated otherwise and are those current at the date of order.
- We may change pricing without notice. Delivery charges apply unless otherwise agreed.
- We reserve the right to adjust pricing where costs increase due to factors beyond our reasonable control, including increases in freight, insurance, customs duties or exchange rates, changes in government taxes, levies or other statutory charges, customer-caused delays, variations or errors, and the correction of clerical or administrative errors.
Payment
- Payment terms are as agreed. We may suspend supply if accounts are overdue.
- Interest may be charged on overdue amounts at 3% above our bank's lending rate.
- You are responsible for all debt recovery costs, including collection and legal fees.
- Fees incurred due to dishonoured or reversed payments are payable by you.
- Undisputed amounts must be paid even if part of the invoice is in dispute.
- Fraudulent account use must be reported immediately.
Default
If you fail to make payment, become insolvent or bankrupt, or enter liquidation or receivership:
- We will terminate supply immediately.
- All outstanding amounts become immediately payable.
Delivery
- Goods will be delivered to the address provided in your order.
- We determine the method of transport.
- Claims regarding proof of delivery must be made within 7 days of invoice.
- We are not liable for delays or non-delivery caused by events beyond our control.
- Risk in goods passes to you upon delivery.
Consumer Guarantees & Defects
Where the Consumer Guarantees Act 1993 applies:
- We will repair, replace or refund defective goods as required by law.
- If goods are purchased for business purposes, the Consumer Guarantees Act does not apply to the extent permitted by law.
Where the Act does not apply:
- Defective or non-conforming goods may, at our discretion, be repaired, replaced, or refunded.
- Any claims must be made in writing within 14 days of delivery.
- Our liability is strictly limited to the purchase price of the goods.
Returns
- Returns require prior approval by Reliable Consumables NZ Limited.
- Returns for credit must be made within 7 days of delivery unless due to our error.
- Goods must be unused, in original condition and packaging.
- Non-returnable items include food, beverage, first aid products, furniture, custom-sourced or special-order goods.
- Delivery charges are non-refundable and collection fees may apply.
PPSA Security Interest
- You grant us a security interest in goods supplied and their proceeds to secure payment of all amounts owing.
- We may register a financing statement under the Personal Property Securities Act 1999 (PPSA).
- You agree to provide information required to maintain that security interest.
- Until full payment is received, goods must be identifiable and not encumbered or sold outside ordinary course of business.
Intellectual Property
- All pricing information, quotations, proposals, catalogues, website content, designs, and any related materials supplied by us remain our exclusive intellectual property.
- Such materials must not be copied, reproduced, distributed, or disclosed to any third party without our prior written consent.
- Where goods are produced to customer specifications, the Customer indemnifies us against any intellectual property infringement claims arising from those specifications.
- We may update these Terms from time to time. Any change to the nature of a registered security interest will require your written agreement.
